Section 609(1) of the Corporations Act provides an exception to the general rule.
A person does not have a relevant interest in shares merely because of a security interest taken for a commercial loan given in the ordinary course of business.
Assuming a normal commercial loan, Gallus doesn't acquire a relevant interest just by taking security over the shares.
