Not sure on the date specifically. But the idea is that arb traders who bought into CDD so they could sell half their shares at 3.45 will pressure the price as they dump the remaining 50% of their stock.
However, if there is enough demand from other traders and investors who may be employing various other strategies - then the price may not go down at all..
