1) The directors get the independent consultants report making recommendations on how
a) the cash can be transferred from the Chinese bank account to the AUD bank account
b) how a dividend can be paid to comply with the Chinese laws.
c) any tax implications in both China and Australia

2) The Directors then pass a resolution to pay a dividend.

Jiameng Zhang benefits as he is a significant shareholder... I am not sure why he doesn't want a dividend to be paid unless there is a tax issue for him?
