Corporate Governance for this Company is not great. Most Directors are considered "non-independent" according to the Annual Report, and for the CEO to now take a "non-executive and non-independent" seat on the Board flies in the face of good corporate governance practice.
The new CEO should be concerned having the former CEO looking over his shoulder as well as a Board that continually pays a dividend (mostly to itself!!) This might explain why they hired an inexperienced CEO rather than a seasoned CEO experienced in managing listed entities?
I thought the whole idea of listing on the ASX was to raise capital for M&A growth?? If that's the case, why keep paying a dividend? What happens if a chunky M&A opportunity comes along? Are they back to shareholders for more capital?
I can't see them attracting Institutional holders or liquidity if they treat shareholders like this??
