Not entirely capturing the issue. Depending on where this goes there's a range of outcomes including injunctive relief. If the courts decide (and I'm not asserting they will) that there is a material reach one outcome COULDbe an injunction preventing the NST bid being put to shareholders to vote on.
Then you have a materially different situation. The issue if TAM shareholder agreement isn't the main game here at this point.
