There would definitely be an exclusivity clause(s). MLX are claiming the breach was "collaborative negotiation" - which would infer they believe there was failure to comply with those clauses. If TAM can show that NST's counter-offer was not solicited by them, then so be it. If it was solicited by a third party (which often happens) solely on the basis of publicly known information, then so be it.
