Oh yes, shareholder approval by a certain date would be a condition precedent. But, the terms and conditions of the contract all being certain ie not uncertain, it is still an enforceable contract, completion of which is dependent on the satisfaction of all conditions precedent by the nominated time or times. If the shs do not accept it and the companies have done their best to have the resolution passed, then the deal is off.
