Ultimately it will come down to whether the HOA has the 6 elements of a contract.

The media release said it was binding and this has not been publicly refuted.
Someone has stuffed up big time here. Either the binding HOA is deficient which allows it to be voided or the acceptance of the NST offer is a blatant breach of contract.
