It would certainly make it a seamless transaction for Rob.
I have seen situations where in order to get the directors on side the pursuing party will do a deal with directors to guarantee that they do not lose out on their unconverted options. There is after all no better persuasive group ( generally ) to share holders than the B.O.D recommending acceptance of the takeover.
