    Perfomance shares are escrowed to 2014 and 2015 so less risk of shares flooding on market. Aligns management to perform.

    No consolidation of shares.

    Low volume capital raise with less dilution. Raising price might be VWAPed over a period. Could be 30c or even 40c who knows what SPA will do.
