Non-call period for the first 5 years following financial close.If the facility is prepaid voluntarily, or by reason of the occurrence of an Exit Event, a Review Event or an acceleration following an Event of Default, during the non-call period, a make whole amount is payable. The make whole amount is calculated as the interest (cash pay and PIK) which would have been payable on the amount prepaid from the date of prepayment until the last day of the non-call period."
