What has got me concerned a little about this deal, is the likes of AOE having a right of refusal to match, or better still increase the opposing intending bidder By not much.
That clause alone IMO, would instill some concerns on the ones that is willing to put another bid in, knowing full well that their offer may be matched or upped a little more, thus trumping them out. And, if anything, it may push them to think that it is all to hard, and eventually drive them away.
To do these moves and due diligence before making any offers, will cost any Company big money, and why wasting that money knowing full well that, chances of success are stacked up against them from the beginning.
IMHO, we have been sold short by our Managment and Board for accepting that offer and recommending it to us for approval.
Crazy if you ask me.
