Yes I think my board should also encourage bidders but not accept low-ball offers.
I have seen it go multiple ways but generally in these takeover situations the long term holders are getting the shaft. Agree with your cynicism can see you have a point on insider information, these high debt deals are nasty things. I don't think that they know anything material which I don't.
I see the little guy getting shafted all the time but the rules are all in his favour so I have to see it as a question of self responsibility.
