I can't believe we're still on about T/o's here as the only option. Seriously, people need to do some research with the information that's been supplied.
BCP Energy International Pte Ltd (a wholly owned subsidiary of Bangchak Petroleum Public Company Limited (“Bangchak Petroleum”).
This subsidiary is going to set up in Singapore, a recognised hub for all sorts of industry associated with the O&G industry.
Have a look at Bangchak, they're the parent co., but their principal business is an oil refinery, then they have service stations and then into green energy. It looks like this will be their first venture into the upstream side of O&G...as a shareholder in NDO.
There's obviously still more to come as we remain in a halt, but let's just have another look at some of that wording in Bangchak's release to the Thai stock exch...
"After the establishment of the new subsidiary, the Company plans to increase the registered capital of BCP Energy equivalent to approximately AUD$ 22.2 million (exchange rate AUD$ 1 equivalent to approximately Baht 30), for the purpose of funding for the acquisition of Nido shares from PIIC, the details of which are below."
Is PIIC going to wait till the new co. has issued an IPO to raise the funds to pay them out? More likely the parent co Bangchak has paid the premium (from cash reserves as stated in the release)....so why does the new subsidiary have to issue registered capital to raise the funds to pay for the acquisition of NDO shares?
Perhaps they have to pay back the parent co. and then they're on their own?? Why is it structured like this if they are going to take over NDO, and more importantly, where will the other AUD$90M come from to take the rest of the shares...@ 5.5 cents...if the other holders will sell at that price??
There is obviously still more to come, and I can't help thinking it is some sort of deal that sees us into another project elsewhere, or introduces another party and/or funds into something of NDO's.
NDO previous sp close was 4.1c, so to have this info come on the table and value 20% of the stock at 5.5c per share, and NOT be marked price sensitive is either an oversight, or the part of the story we don't know about yet is going to be pretty big, maybe...."exciting news".
These are just thoughts and observations...appreciate any more of the same after examining the details supplied...you're pretty good at it Niu.
