I first assumed options are worthless

Atv has 820 mill shares, @ 0.05564. This equates to about 47 million shares in Spur.

Spur has 60mill shares, so the new entity will consist of 107 million shares.

Our shares will be 47 out of 107 as a percent. This is about 44%.

So we will have 44% of an entity consisting of all of atv's assets and 27.5 mill cash.
