Yes it does sound like a couple of other participants within the agri space one of which is similar in the fact that the shareholding(with management and their associates) have a monopoly and unacceptable control of any voting process.

If one was to take the old school description of imminent then it would be entirely appropriate....oft referred to as "overhanging". In this case it is seriously imminent.
