    Not easy for me to understand either- my guess is;

    "Off-market Employee Long-Term Incentive
    Scheme (LTIS)"

    seems to be off market anyway- so no effect on price

    seems like the LTIS has borrowed money and not paid it on due date.
    so they are going to deduct 5million shares from the total as compensation and call it a buy back.

    assuming "they" is the company SOO and the LTIS is a part of SOO.

    just some internal book balancing.
