Yes, the commitment fee is a 'set up cost'. Con note providers do this to make sure they cant lose.

Conversion pricing needs to be confirmed. They don't specify whether higher or lower. I'd be surprised if its the higher of, most of them aren't.
Its a crap deal but at least they know that and are still searching for alternatives.
