Coalworks Ltd (“Coalworks” or “the Company”) was incorporated on 10 June 2005. Coalworks intends
to apply for admission to the Australian Securities Exchange following closure of the issue set out in this
Prospectus. Coalworks is offering 20,000,000 Shares at $1.00 each to raise $20 million with a provision
to accept oversubscriptions of up to a further 5,000,000 Shares. There is a minimum subscription of
15,000,000 Shares or $15,000,000.
