Those two takeovers you mention were at the height of the GFC - StGeorge was at risk of becoming insolvent due to its high reliance on wholesale funding that was drying up.
I think the head of the ACCC is on the record as stating it would not have been allowed outside the GFC (but don't quote me on that............)
