    sorry it took me a while to reply the day job takes precedence for now.
    I would question exactly how they are going to pull this transaction off as well and all I know is what I have read i their announcements; but I don't think they would be looking at it if they didn't have some kind of financing set up.
    From their ann 31st of Aug;
    'ECSI Limited is pleased to announce that it has signed a term sheet on 5 August 2010 to acquire 100% of Alphacoal Capital Pty Ltd for $2,000,000 from Alpha Wealth Financial Services Pty Ltd. Alphacoal holds an option to purchase either, the business and assets of Pu Neng Coal Chemicals Limited or the shares in Pu Neng from Vigor Holdings Limited , a company incorporated in Hong Kong.
    ECSI has paid a refundable deposit of $1 million. The balance is not due for 18 months; and is subject to the successful completion of the Companys due diligence.'
    So they only need a million to complete this part of the deal and still have over a year to get that money together; not a huge sum in the greater scheme of things and if they can 'sell' what they are to some foundation investors a sum that I don't think they will be hard pressed to secure.
    'ECSI will ultimately (and effectively) acquire 100% ownership of Pu Neng, or alternatively the business and assets of Pu Neng.
    The option exercise (consideration) for the acquisition will be the issue of 300 million shares at a value of 5 cents each ($15,000,000) (pre-consolidation) to Vigor and the payment of $1,000,000 in cash (payment deferred for 1 year post the completion of the transaction). All securities issued to Vigor will be escrowed for a period of two years from the date of issue.'
    So obviously the issue of shares in the 'new' company is an easy way to do the payment and there is the second million that they need to come up with that you have mentioned before.
    As I said for people with deeper pockets than me this is not a huge sum of money. If they can get some good management in there, show the plant can be run at a profit, show that there there is room for expansion, and then package this up as a nice presentation/ roadshow ...then I think getting some cornerstone investors will be easy. Or maybe in a years time the share price will be higher than it is now and they can do a cap raising.
    Either way I do not see this amount of funding as being a major prohibitive factor, all my humble opinion of course.
