my guess is that the last hurdle is vpe share price. nearer 40 to get vpe holder support. ES should balance this for ITC, achieving a 1 for 3 plus cash, as has been discussed. But an offer is yet required ; )
Re last hurdle...VPE is moving off up again as I write this 34c I think close is very good on a market down day.
