If Shell proposed a Scheme of Arrangement to AOE as you wrote, IMHO is not the correct way of doing it. Because the following explains the way it should be done.

That is the way I interpret it from the definition I posted in my previous post. But anyway it is a long process to go that way.
That could also be the reason as to why all the instos are buying and shorting the hell out of the shares. IMHO they are doing it in order to try and reach that magical figure while we shareholders are getting well and truly done.
In the meantime the Directors aren't loosing any sleep over it because they are set to make a killing on the deal.
