For those who may not know the details this is the bio for Director Michael Clarey who has stated he does not recommend AZA shareholders accept the ROC offer and as a shareholder he will not be accepting the offer.
A " broad base of financial experience "tells him the AZA shareholders are getting screwed.

Mr Clarey has over 30 years international business experience in Australia, Asia, Europe, and North America. He brings a broad base of financial experience having worked in senior Government and management positions in the financial services across specific industries including mining and metals, oil and gas, construction and engineering, and shipbuilding, passenger and ferry services.
Mr Clarey served in the US Navy where he achieved the rank of Lieutenant. Assignments included the River Patrol Force in Vietnam and subsequently an instructor at US Naval Officer Candidate School in Newport, RI, USA. Following graduate school where he earned a Masters in International Management, Mr Clarey commenced his banking career at JP Morgan where he spent 18 years, in Sydney, USA, Singapore, Japan and France in diverse roles including corporate finance, capital and bond markets.
During the 1990’s Mr Clarey was Executive Director, Corporate Finance at Chemical Australia Limited and Managing Director and Head of Non-ferrous Metals & Mining with Chemical Securities in New York. Following the merger with Chase Manhattan, Mr Clarey became Head of Forest Products and Aluminium for Chase Securities. In August 1999, Mr Clarey was appointed by the Australian Government’s Export Finance Insurance Corporation (EFIC) as Head of the Structured Trade and Project Finance Division.
