It's a very opportunistic bid If i've ever seen one.
Buying a quality growth company in a moment of periodic regulatory weakness.
Maybe WES feel they can offer synergy's that could maneuver LYC out of this position, which would make an offer an acquisition anywhere in the $2-$3 range an absolute steal.
