They are not confident and that is why conditions apply. If all the conditions are fulfilled then the LYC SP will be well ahead of the offer price. The reason the SP is where it is lies in the current situation where there is doubt in the minds of some investors that those conditions specified will be filled.
A lousy opportunistic offer that is taking advantage of a tricky situation.
