The minority vendors will be issued with up to US$24.5 million worth of Shares based on the 5-trading day VWAP. I am not sure why BUD agreed to this, in my opinion it was always likely to contribute to downward pressure on the SP. Hopefully someone will push the SP back up next week. In my opinion BUD shareholders are paying a high price for BUD managements continued poor performance.

US$26.5 million to be paid in cash to Luminous Wide Limited, LIFX's 51% shareholder (Majority Vendor);

up to US$24.5 million worth of Shares to be issued to the remaining 49% minority LIFX shareholders (Minority Vendors) (in their respective shareholding proportions) with such number of Shares to be based on the 5-trading day VWAP of Shares on the ASX prior to the date of the Meeting (save that certain Minority Vendors will be paid a cash equivalent in lieu of Shares to be issued - refer to Section 4.3(a) for further details); and
