Well if the CN holder is a shark they will convert and sell into the market creating a downward spiral in the SP (the CN holder gets to convert at some price below the current market SP). Some note holders are OK and are generally interested in not destroying a company, while other are just in it to rape and pillage.
We will need to wait and see what the deal is and who it is with (assuming it is a CN).
