I had attached some docs about the Oretek deal put together in 2000 that I thought you may find of interest.
The Deal
Step 1:
Deal made with the creators of patents to commercialise untried/untested technology. Oretek created to be the vehicle to facilitate this. Trans Global were given a 36% interest in Oretek plus a 40% economic interest in the patents, in return for introducing financial backers to the company. The remaining 60% economic interest was retained by Oretek.
Step 2: Trans Global sold the 40% economic interest in the patents to Rand(20%) and Tribune(20%) for 2.3M shares and 2.3 M options in each of the companies. An independent expert appointed at the time by Tribune determined the value paid by Tribune alone to be between $1.3M and $1.75M. Rand and Tribune were also required to contribute a further $1M each in financing to develop the technology.
Step 3:
Billis worked as a consultant and was given 1M options in TBR in payment for negotiating the deal with Trans Global. He was paid to negotiate a deal with his own company. A company we now know he owns 100% of. He even had the options awarded directly to Tran Global.
His company was paid significant sums by both the selling party and the buying party in the same deal. He was also paid personally for negotiating the deal - paid 3 times for the same transaction.
The deal overall resulted in 13% of the company transferring to Trans Global. A big reason why I believe Billis has no interest in shareholders of the company.
