    A few questions to ask mate…………..

    Questions to ask Yowie Group Board and management to understand the drivers of historical performance:

    1-How has Yowie base brand performed in units, sales, and margin over the last 4 years?

    2-How has ACV by trade channel (52 wks. 26wks, 4wks) vs. previous 2 years in units and value according to Nielsen? Please break down the results as per previous Board presentations i.e. (Walmart, Convenience, Food, etc.) Please also include average net selling price (After all promotions and discounts) by channel for each year.

    3-What was the net incremental impact for the year of the Discovery world, Yowie Tube, Travel retail sales, Canada market sales, and Australia full year sales?

    4-How many trips during the year did each of the current Board members took to all the key markets were Yowie is sold?

    5-What as the net dollar value benefit of the organizational changes implemented during 2018 that essentially reverted the previous Board increase in overhead expense with the appointment of a new Global CEO (Estimated at $1 million+ per year), Global COO (Estimated at $900K+ per year), Global CMO (Estimated at $400K+ per year), new Hong Kong Office and a new travel retail sales representative (Estimated at $300K+ per year)? What results were specifically delivered by each of these new hires for the Global expansion and INCREASED SALES AND PROFITABILITY of the Yowie brand?

    6-What was the estimated value of SHARE buy back program (If any took place during the last three years) and when did each buy back take place during the year?

    7-In which Trade shows did Yowie management participate during the past year, what was the cost, and what were the incremental sales, delivered?

    8-After all investments in marketing during the last 3 years, how has measuredbrand awareness trial and loyalty improved? (Please use a reputable third party provider other than the one doing the work)

    9-What were the Gross sales, Net Sales, margin, costs and net profitability for each of the core markets i.e. Australia, US, World Travel retail (Explorer pack), and Canada markets for each of the last 4 years?

    10-Did Yowie sales grew at Walmart during 2018? What changes if any during the last year did the company made to maximize the potential of the Walmart account? How has Yowie performed at Walmart for each of the last 4 years? Please provide sales, VPI programs, seasonal programs, ACV distribution, ranking in the Novelty segment and Total chocolate category as reported and certified by Nielsen. What specifically drove the significant inventory stock adjustments, how the adjustments were calculated per year and can Yowie Board, Walmart management and Yowie management certify that the issue(s) are not recurring and that the problem(s) have been resolved?

    11-Please provide an update of the 15,000 new stores projected for the year as per announcement by Yowie Chairman Louis Carroll (Excluding seven eleven new stores which were not included in the original list provided below)

    12-In 2014-15 Yowie Board estimated the US market opportunity in over $2b dollars (according to past AGM presentation documents). What is your current estimate given the new competitive entries? Please provide rationale for any variance


    13-Based on previous Board AGM presentation data, Yowie delivered 65M units in Sales ($100million in retail Sales) in Australia during the first year of launch in 1995. What drove the significant difference in the low performance to date, what is your estimated potential for Yowie in the Australian market for the next year and what specific plans do you have to maximize the market potential?

    14-Please provide a summary Top 5 risks and opportunities for the Yowie business, and what are your specific plans to address them?

    15-Please provide a summary of inventory write offs, donation(s), including rationale for the expense for each of the last 4 years.

    16-Has the Yowie Board instructed or approved shipment of sub-optimal product, packaging or short dated product into any of the markets, customers were Yowie is sold over the last 4 years? Please provide rationale for instructed or Board approved actions.

    17-What the % of sales sold as permanent listing vs. temporary promotions and or market/store tests for each year during the last 4 years?

    18.Can the current Yowie Board and management certify that there are no inventory issues with current customer base? Please include excess inventory issues at customers, short dated inventories, other issues and or special promotions or deals given to costumers during 2018 by quarter including the rationale.

    19.Please Provide an activity cost based financial statement for each of the operating markets (US, Australia, Canada, Travel Retail etc.) for each of the last 4 years. Please exclude overheads related to the Australia head office and add them under a separate line as Additional overhead. This should include costs associated to Yowie group Board, Travel Retail, Non-US market entries, Australia office operations, Hong Kong office etc.

    20.What were the actual and ongoing total costs for the Yowie Scope application/management, partnership with the Wildlife Conservation Society and for the Yowie Cartoon series? What are the total views for each video and the total downloads for Yowie Scope? What are the projected sales incremental impacts of our partnership with WCS?
