You're both trying to argue that shareholders are being done in the eye by management, but using opposite arguments - he says the directors' price is too far below the market price, you're saying the market price will soon be too far below the directors' price. The best way to resolve the matter would be for you to sell your shares to him at the directors' price, then you would both be happy.
