You're right - there is no new revenue from the proposed merger with Beston Technologies. The real reasons for Beston divesting the BT business is twofold - one, their CTO has left and he single-handedly wrote the technology (which Beston are hiding by leaving him on their website - he actually left in December 2017) and two, look at who owns 80% of Brandlok - Grape Ensembles. Who owns Grape Ensembles - Beston Pacific. It doesn't take much to work out why Beston are pursuing the deal when their Chairman stands to benefit from a technology that is barely being used.
Beston on their own are a basket case. DDT and Beston together is something that is beyond description. I genuinely feel sorry for DDT shareholders.
