Unfortunately the "Millions and Millions" deal did not eventuate and the completion of the plant upgrade to produce 5 tonnes of pre-reduced iron oxide/zinc oxide pellets has also falling through.

You can not blame Bergen for that.

A converting note is not a loan - you are confusing a converting note with a convertible note
The conversion terms were very far from standard.

If buyers bid at 2c per share, Bergen will again make 100% when it converts and immediately dumps. No rational board would ever have entered a transaction with this uncommercial aspect.
