My guess (only guessing) is SBM can offer higher prices or better PEX:SBM script ratio, because if they already own 20% their 20% will not convert to SBM shares. SBM cannot own their own SBM shares.
My guess is every 3.5 to 4 PEX shares for 1 SBM ($3.20). SBM is running hot, it won't cause much dilution to their holders.
