Even if the royalties never arrive, there's value in the structure with an EV of $1m and cash of $2m. That gives the company a world of options in acquiring a new business or project and moving in a new direction. ZIP still own the previous IP, they've licenced it out and if they receive royalties great, if not who cares, it was a zero downside deal and they're still free to do whatever they want with it.
