State delegate Paul Grigg, a wheat grower, said allowing AWB to retain the veto gave "tacit approval to this company's actions" in the nation's biggest trade scandal.
He feared AWB's falling share price - which has more than halved since the Cole inquiry began in January - made it a takeover target.
"What happens if this company is taken over or consolidated, what happens if this company goes broke? Where does this leave our single desk?" he told the conference.
"The power of veto needs to be put with an independent authority.
"The credibility of the National party is at stake if we support the retention of the veto with the current arrangement."
