In my opinion RXL is using this company to show the market that the Zinc resource is on the market and try to get more bidders only to have Tech to bid them out at the end.
Hope it works out and RXL get a good price for this , time will tell
RXL does not need (useless) shares in this transaction but what they need is the Cash.
