I think the board wanted to keep as much under its hat as possible going into the final negotiations just in case the deal fell over.
Based on how long this has been in the pipeline I am hoping that structuring the final deal will not take a great deal of time and the full proposal will become transparent to all.
If everyone stakeholder is involved and has skin in the game there is a good chance this will be successful in the long run.
Yes there has to be a debt for equity swap of some sorts as there needs to be a way that the lenders claw back some of their exposure. The question will be how much and what the structure will be. Also from what it sounds like there will be new players entering the game so they to will end up with some form of equity. Yes a very very very big dilution for existing shareholders, however it will depend on what the price of the issue of equity will be at to gauge if existing shareholders have come out favourably or not. Notwithstanding the shares will become liquid and trade allowing people to get out or average down.
