I would say that it is highly likely that holders are selling to buy into the spp.

It is the best thing to do for the company if you do not have enough cash on hand to participate. That way the company raises the money they need but the shareholder does not need to increase their holding if they do not want to.

So long as you do not sell your entire holding before the record date, and still hold some shares, you can do it easily and, it is of course legal. Everyone can subscribe for the maximum amount as long as they hold at least one share at the record date.
