Question - why bother with consolidation if they are planning to sell the company's assets??

Answer - so certain lawyers, accountants, et al can charge more fees against a non-income producing entity, that's why. Fees for an exercise that does nothing at all for shareholders, except perhaps give a holder of a million shares an eventual marketable parcel to possibly sell if it ever relists.
