if you want to elect to go with the european option, yes i believe that to be the case
i just noticed a couple of clauses ( i have not read the whole thing thoroughly and i am not a corporate legal expert so i am sure there are other things ) in the memorandum which are a bit unusual - quorum for a general meeting of 2 ( as long as they hold over 33% of "nominal amount paid up "on the issued shares )
