Why would anyone want to pay a break fee? Irrelevant in any case as a hypothetical.. funds need time to clear etc. if the timeframe wasnt disclosed then you'd be worried.

I don't see why a party would drop $2m when they could have just stepped away. This needs to complete by 30 July, you would know you can't get the money in 2 weeks surely you wouldn't pay the deposit.

In any event, worse case the deposit becomes a placement at 40c
