    - we don't pay cash
    - little dilution
    - Both parties agree we are horribly undervalued currently:
    "YTC to issue OZ: $250,000 of YTC shares at $0.45 per share"

    Here is hoping that any CR for HERA will be at that price (or higher), too ...
