Can I ask what is the process of the acquisition? Which case is it?
Case 1: The company announced the acquisition. The placement is announced with price. The market is informed. The company will ask sophisticated investors.
Case 2: Before the company announce the acquisition, the company ask for backing from sophisticated investors with price of the placement. The company announce the acquisition. The placement is announced with price. The market is informed. This is not fair.
Case 3: The company announce the acquisition and the placement to the sophisticated investors. The market is informed. This is not fair.
If money is scarce, in my opinion the reality would be case 2 which is not fair.
