    that's a very logical move for SMM. PDN's offer price is too cheap, and no one knows it better than SMM does. SMM's offer/valuation on VUL has to be much higher as this would directly affect its valuation. on an in-ground basis, VUL's valuation is 40% lower than that of SMM
