    Suenami, can you tell me how anything that you have mentioned is relevant?

    My reading of the situation is that, after many years and several projects, the company is run down, has $1m left in the bank (maybe), and has lost all confidence in the board that got it here, to the point that the board has resigned, and a new group of directors has been appointed. Correct?

    The new board isn't saying "Vote for us or we will hurt you". They are saying "We are prepared to use this company for some projects, for which we will raise funding. You will still be shareholders, at even further dilution, but we are happy for you to have a stake, free of charge, in our new projects in return for us using your company for them. Or, you can contribute to the projects and have a bigger stake."

    If you vote it down, you are hurting yourself. Not them hurting you. Why does the new board owe you anything?

    spondoolies, I take your point, and I've been watching it for well over four years, but not holding. The one benefit you will have if they do go ahead is that at least your holding will be tradeable, although I realise it's not worth much atm.
