The shootout clause is unfortunately not as clear cut as first thought...
They may move to 100% ownership for sure, it may not be for what they thought it'd be for.
It'll take a while to sort out. They'll come out on top in my opinion, but they'll have to pay something for it I reckon and this is where the Cash balance will come in to play at the end of it all.
