Sure, the ASIC may not be able to bring a prosecution, but how would it 'appear' if on one hand the MD buys shares, then on the other hand the board announces a buyback, and then the MD says 'oh I knew nothing about that'. Like he would be laughed out of town, like, HELLOOOOO. His reputation would be mud.
APPEARANCE means everything, prosecutions or not. And when the regulatory body comes up with the usual "we can find no evidence of any LEGAL wrongdoing", then we can really have a big laugh.
